Business-Purpose Financing Only
Texas Reserve Capital’s lending activities are intended exclusively for bona fide business, commercial, investment, agricultural, or similar non-consumer purposes. We do not offer personal, family, or household-purpose loans through this website.
Submitting an inquiry does not create a lender-borrower relationship and does not constitute approval, a commitment to lend, or an agreement to provide financing.
Lending Entity and Separate Legal Structure
Texas Reserve Holdings LLC, a Texas limited liability company doing business as Texas Reserve Capital, is the issuer of the Series A Senior Unsecured Notes and manages the enterprise.
Commercial lending is intended to be conducted by a separate, wholly owned Delaware limited liability company. The applicable lender will be identified in each financing proposal and definitive loan document. The Texas Issuer and the Delaware lending subsidiary are separate legal entities. Obligations of one entity are not automatically obligations of the other.
No Bank or Government Status
Texas Reserve Capital and its affiliates are not banks, credit unions, trust companies, governmental lenders, or depository institutions. Loan products are not government loans and are not sponsored, approved, insured, or guaranteed by the United States, the State of Texas, or any other governmental authority unless a definitive written agreement expressly states otherwise.
No Commitment; Terms Subject to Review
Any financing description on this website is illustrative and may change. Actual availability, amount, rate, fees, term, collateral, guarantees, covenants, closing conditions, and other terms depend on underwriting, due diligence, credit approval, documentation, market conditions, jurisdiction, and applicable law.
A term sheet, proposal, indication of interest, discussion, or draft is nonbinding unless it expressly states otherwise and is signed by an authorized representative of the identified lending entity. A binding obligation to fund exists only under executed definitive documents after all conditions to funding have been satisfied or waived in writing by the lender.
Jurisdictional Availability and Licensing
Financing products are offered only in jurisdictions where the applicable lending entity is authorized to conduct the proposed activity or where an applicable exemption is available. A product shown on this website may not be available in every state or to every applicant.
The applicable entity will evaluate licensing, foreign-qualification, interest-rate, fee, disclosure, filing, and other requirements before extending a specific financing offer. Texas Reserve Capital does not represent through this website that it or an affiliate holds a lending license in every jurisdiction.
Commercial-Financing Disclosures
Certain jurisdictions require transaction-specific commercial-financing disclosures when a provider extends a specific offer. Where applicable, those disclosures will be delivered with or before the financing offer in the form and at the time required by law. Website descriptions do not replace transaction-specific disclosures.
Rates, Fees, and Costs
Rates, fees, default charges, extension fees, exit fees, legal fees, appraisal fees, filing fees, diligence costs, third-party costs, and other charges vary by transaction and jurisdiction. No rate or fee is final until stated in definitive documents.
The borrower may be responsible for third-party costs even if a proposed financing does not close, but only to the extent expressly provided in a signed agreement or authorization.
Credit, Collateral, and Guarantees
We may evaluate credit history, cash flow, revenue, financial condition, ownership, management, litigation, public records, sanctions status, collateral, lien priority, valuation, insurance, and other information. We may require personal or entity guarantees, collateral, control agreements, deposit-account arrangements, insurance, financial reporting, and other credit protections.
No description of collateral value, advance rate, loan-to-value ratio, or repayment source is a representation that collateral will retain its value or be sufficient to repay a financing.
Information and Verification
Applicants and related parties must provide complete and accurate information and authorize reasonable verification. We may use affiliates and third-party providers for identity, beneficial-ownership, fraud, sanctions, credit, public-record, collateral, valuation, and other diligence, subject to applicable law.
Providing false, misleading, incomplete, or unauthorized information may result in rejection, termination, enforcement action, or referral to appropriate authorities.
Equal Opportunity and Prohibited Discrimination
To the extent applicable, Texas Reserve Capital and its lending affiliates do not discriminate in a credit transaction on a prohibited basis. Nothing on this website is intended to discourage any qualified business from requesting information about an available business-purpose financing product.
No Brokerage or Advisory Relationship
Unless a separate signed agreement expressly states otherwise, Texas Reserve Capital is acting for its own account or through an affiliated lending entity and is not acting as the applicant’s broker, agent, fiduciary, investment adviser, legal adviser, or financial adviser.
Applicants should consult their own legal, tax, accounting, and financial advisers before entering a financing transaction.
