TEXAS RESERVE CAPITAL

Website Terms of Use

Effective September 14, 2026 · Last updated September 14, 2026

These Website Terms of Use (“Terms”) govern your access to and use of TexasReserveCapital.com and any website, page, form, content, or online service that links to these Terms (collectively, the “Site”). The Site is operated by Texas Reserve Holdings LLC, a Texas limited liability company doing business as Texas Reserve Capital (“Texas Reserve Capital,” “we,” “us,” or “our”).

By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. Informational Purpose Only

The Site provides general information about Texas Reserve Capital and its activities. Site content is not legal, tax, accounting, investment, financial, or other professional advice and should not be relied upon as a substitute for advice from your own qualified advisers.

No information on the Site creates a fiduciary, advisory, broker, lender-borrower, investor-issuer, customer, agency, partnership, joint-venture, or other relationship. Such a relationship arises only under a definitive written agreement executed by the applicable parties.

2. No Offer, Solicitation, or Commitment

Except through definitive offering materials delivered by Texas Reserve Capital to an eligible prospective investor, the Site does not constitute an offer to sell or a solicitation of an offer to buy any security. Any securities offering is subject to investor eligibility requirements, verification, Company acceptance, applicable law, and the definitive offering documents.

Nothing on the Site constitutes an offer, approval, or commitment to extend credit. Financing terms are subject to underwriting, due diligence, documentation, applicable law, internal approval, and execution of definitive agreements by the applicable lending entity.

We may reject any inquiry, subscription, financing request, or proposed transaction in our discretion, subject to applicable law.

3. Offering and Transaction Documents Control

Descriptions of securities, interest rates, maturities, risks, lending products, collateral, underwriting, or other terms on the Site are summaries only. The applicable Confidential Private Placement Memorandum, Subscription Agreement, definitive Note, loan agreement, promissory note, guaranty, security agreement, disclosure, and other executed transaction documents control.

If the Site conflicts with a definitive offering document or executed agreement, the definitive offering document or executed agreement controls.

4. Eligibility and Permitted Use

You must be at least 18 years old and legally capable of entering binding agreements to use transaction-related portions of the Site. You may use the Site only for lawful purposes and in accordance with these Terms.

You may not:

  • violate any applicable law or regulation;
  • provide false, misleading, fraudulent, or unauthorized information;
  • impersonate another person or misrepresent your authority;
  • attempt to gain unauthorized access to the Site, accounts, systems, networks, documents, or data;
  • introduce malware, malicious code, automated attacks, or disruptive technology;
  • scrape, copy, harvest, reverse engineer, or systematically extract Site content or data except as permitted by law;
  • interfere with Site security, availability, performance, or operation;
  • use Site content to create a misleading statement concerning Texas Reserve Capital, an offering, or a financing product; or
  • use the Site in a manner that infringes another person’s rights.

5. Accounts, Forms, and Electronic Communications

If the Site allows you to create an account, access a portal, or submit a form, you are responsible for the accuracy of the information provided and for protecting your credentials. Notify us promptly of suspected unauthorized access.

By submitting an inquiry or providing contact information, you authorize us to respond through the contact methods you provide. Consent to receive marketing communications is not a condition of purchasing a security or obtaining financing. You may opt out of marketing emails by using the unsubscribe mechanism or contacting us. Transactional, legal, compliance, servicing, and account communications may continue where permitted by law.

Electronic communications and signatures may be used to the extent permitted by applicable law and the governing transaction documents.

6. Intellectual Property

The Site and its content, including text, graphics, logos, designs, photographs, videos, software, compilation, selection, and arrangement, are owned by or licensed to Texas Reserve Capital and are protected by intellectual-property laws.

Subject to these Terms, we grant you a limited, revocable, nonexclusive, nontransferable license to access and use the Site for your own lawful informational or transaction-evaluation purposes. No other right or license is granted.

The Site may contain third-party content or links to third-party websites or services. They are provided for convenience only. We do not control and do not necessarily endorse third-party content, and we are not responsible for its accuracy, availability, privacy, security, or practices.

8. Forward-Looking Statements and Information Accuracy

The Site may contain forward-looking statements regarding plans, objectives, expectations, strategy, market conditions, pipeline, operations, financial performance, or future events. Forward-looking statements are not guarantees. Actual results may differ materially due to known and unknown risks.

We seek to provide accurate information but do not warrant that Site content is complete, current, or error-free. We may change, remove, suspend, or discontinue Site content or functionality at any time without notice.

9. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SECURITY, AVAILABILITY, OR RESULTS.

Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TEXAS RESERVE CAPITAL AND ITS AFFILIATES, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR LOSS ARISING FROM OR RELATING TO THE SITE OR RELIANCE ON SITE CONTENT.

TO THE FULLEST EXTENT PERMITTED BY LAW, THEIR AGGREGATE LIABILITY ARISING FROM OR RELATING SOLELY TO USE OF THE SITE WILL NOT EXCEED ONE HUNDRED DOLLARS ($100).

These limitations do not apply to liability that cannot lawfully be limited and do not modify any rights or remedies under definitive securities or financing documents.

11. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Texas Reserve Capital and its affiliates, members, managers, officers, employees, contractors, and agents from claims, losses, liabilities, damages, judgments, costs, and expenses, including reasonable attorneys’ fees, arising from your unlawful use of the Site, violation of these Terms, infringement of another person’s rights, or submission of false, fraudulent, or unauthorized information.

12. Governing Law and Disputes

These Terms are governed by Texas law, without regard to conflict-of-laws principles. Unless a separate signed agreement provides otherwise, any dispute arising solely from use of the Site must be brought in a state or federal court with jurisdiction in Montgomery County, Texas, and each party consents to that forum.

Offering-related and financing-related disputes are governed by the applicable definitive documents, including any arbitration, venue, jury-waiver, or class-action provisions contained in those documents. Nothing in these Terms waives any right or remedy that cannot lawfully be waived under federal or state securities law or other applicable law.

13. Changes to These Terms

We may update these Terms by posting a revised version with a new “Last updated” date. Changes apply prospectively from publication. Your continued use of the Site after publication constitutes acceptance to the extent permitted by law.

14. Severability; No Waiver; Assignment

If a provision of these Terms is held unenforceable, it will be enforced to the maximum permissible extent and the remaining provisions will continue in effect. Failure to enforce a provision is not a waiver. You may not assign rights under these Terms without our written consent. We may assign these Terms in connection with a reorganization, financing, merger, acquisition, sale, or transfer of the Site or our business.
